By-Laws

I.  Club Officers

      

A.  Club Offices shall consist of:           

1. President

2. Vice-President                         

3. Secretary   

4. Treasurer

5. Five (5) Directors

 

B.  Terms of Office

With the exception of Directors, each Club Officer shall serve, when duly elected, a term of one (1) year, from April 1 to March 31 of the following year. There shall be no limit on the number of terms an Officer may serve as long as he or she is elected in accordance with the By-Laws of the Club. Directors shall serve a two (2) year term but shall be elected and begin serving in alternating years – that is, two shall be elected in one year and three shall be elected in the following year, alternating thusly year after year (2-3-2-3-2-3-2-3 etc.). It is generally assumed that the outgoing President shall be nominated for one of the open Director positions to provide continuity (if duly elected) in Club business activities. The Directors shall begin their terms of office on April 1 and serve through March 31 of the second year following.

 

C.  Duties of Officers

1.     President:  The President shall preside at all meetings of the Club and Executive Board, appoint any and all committees necessary to carry out the purpose, intent and objectives of the Club, and perform all the other duties incident to the office.

2.     Vice-President:  The Vice-President shall perform all the duties of the President in the absence of the President.

3.     Secretary:  The Secretary shall keep accurate and complete minutes of all meetings of the Club and Executive Board, carry on all correspondence on behalf of the Club, and perform all the other duties incident to the office.

4.     Treasurer:  The Treasurer shall have custody of the Club funds, collect, receive and disburse Club monies according to the directions of the Executive Board, keep complete and accurate records of the Club’s finances, make monthly reports to the Club and perform all the other duties incident to the office. The Treasurer may be bonded at the discretion of the Executive Board.

 

D.  Executive Board   The Executive Board shall consist of the four Club Officers and the five Directors and, subject to the approval of the Club as hereinafter provided, shall have the general management and control of the affairs and property of the Club and shall perform all the duties not otherwise specifically delegated by this Constitution and By-Laws. At all meetings of the Executive Board, three (3) members thereof shall constitute a quorum. Unless otherwise provided, a majority vote shall decide. Meetings of the Executive Board shall be at the call of the President or three members of the Board. The Executive Board shall have the power to proceed in any manner as may, in their judgment, serve the interests of the Club. A decision by a majority of the Board on any question shall be binding until the next regular or special meeting of the Club where a  majority of those members with voting rights in attendance may approve, amend or nullify such action. Should a vacancy occur in any office for any reason, that position shall be filled by the Executive Board at its next meeting. The appointee shall serve the unexpired term of the vacant office.

 

E.  Election of Officers and Directors  The President shall appoint a nominating committee at the meeting 30 – 60 days prior to the March meeting when elections shall occur. The nominating committee shall consist of as many    Club members in good standing as the President shall deem necessary. The committee shall meet as many times as necessary to nominate a full slate of Officers and Directors as may be required at the March meeting. After the nominating committee has made its nominations, Club members may, from the floor, make as many nominations as they wish until motions are made and approved to close nominations. Voting may be by secret ballot with the candidates present or may be by show of hands if the candidates are asked to leave the room. All reasonable steps must be taken to avoid any hard feelings or embarrassment. Officers and Directors shall be elected by a simple majority of those members in good standing    with voting rights in attendance at the March meeting.

 

II.  Membership

 

A. To Become a Member

1.    Prospective new members shall complete an application for membership which shall, among other things, include the names of both husband and wife, if married, the name and description of the qualifying antique vehicle or vehicles, and the signatures of two (2) sponsoring Club members, i.e., members who will recommend the applicant for membership.

2.    Upon submission of the application, the President shall appoint a committee of  three (3) Club members to inspect the qualifying antique vehicle. Each member of  the committee must signify by signature on the application that the vehicle is:

a.     At least 25 years old or older and

b.    In good condition OR being restored to a presentable condition to the satisfaction of the committee.

3.    At a regular meeting, the completed and approved application shall be voted on by the Club members with voting rights in attendance.

a.     Balloting shall be by secret ballot

b.    Majority of members in attendance shall rule     

c.     Each application shall be voted on separately

4.    Associate members may be accepted into the Club membership by an affirmative vote of a majority of the Club members with voting rights in attendance at a meeting when an application is submitted. Associate members are those not meeting the criteria of section II. A. 2. above, i.e., concerning ownership of a qualifying vehicle. Associate members shall not have voting rights.

 

B.  Membership Rights and Responsibilities

1.    Iron City Antique Auto Club is a family oriented club and membership includes husband, wife and children 18 years or younger.

2.    Both husband and wife (or head of a household, in the case of a single adult) shall each have one vote in Club affairs as regular Club members.

3.    The members are expected to maintain their antique vehicles in good and safe operating condition for use in Club activities.

4.    The members are expected to maintain their vehicles in reasonably good appearance.

5.    Each member is expected to support the Club in all official fund raising endeavors, work days and Club activities.

6.    Being such a family oriented club, no alcoholic beverages or profane language are permitted on Club property, at Club sponsored activities or at any event where the member is indicating affiliation with the Club. Members shall do everything possible to maintain the Club name and reputation at its highest honor and dignity.

7.    The Club can suspend any member for disorderly conduct, with the vote of the majority in attendance at a regular meeting ruling.

      

 

C.  Dues

1.    Dues shall be $10 per year per individual or family (i.e., husband, wife and children 18 years or younger), whether regular or associate members.

2.    New member initiation fees are $15 (a first year total of $25).

3.    Dues are payable by September 30th of each year. Any member not paid by the following March 31st shall be suspended. Suspended members may be reinstated only as any other new member.

4.    Surviving spouses of deceased members shall be given a lifetime membership at no cost.

5.    The dues of the Club Secretary and Treasurer shall be paid by the Club each year.

 

III. Meetings

On May 30, 1960 the Club organized under the name of Iron City Antique Auto Club. Meetings are to be held on the third Saturday of each month, usually at the clubhouse, but otherwise as announced.

 

IV. Revisions to By-Laws

Revisions by addendum may be made to the By-Laws by an affirmative vote of two-thirds   (2/3) of the members in attendance at a regular meeting.
